Terms of Service and Public Offer

1. General provisions and subject of the agreement

1.1. This document is the official public offer of LUMIS Studio (the "Provider" or the "Service") to grant access to a web platform for AI-assisted architecture design and code generation.

1.2. Acceptance of this Offer occurs when the User performs any of the following: registers an account on the Site, pays for any credit pack, or actually starts using the Service's features.

1.3. The subject of the Offer is a paid or free (within the trial allowance) non-exclusive licence to the LUMIS Studio software (SaaS) for automated analysis of startup ideas and the creation of PRDs, architecture specifications, interactive UI prototypes and code repositories.

2. Intellectual property (100% IP rights)

2.1. Exclusive rights of the User: all results created with the Service (including, without limitation, Python files, FastAPI back ends, Pydantic models, HTML/CSS mock-ups, Markdown files, Cursor/Windsurf rules) are deemed documentation and program code authored by the User. Exclusive and copyright rights to these artifacts belong to the User in full.

2.2. The Service charges no royalties or revenue share and claims no equity in projects created with the Service.

2.3. Exclusive rights to the LUMIS Studio software itself, its design, interface, orchestration algorithms and trademarks belong to the Provider.

3. Payments, pricing and credits

3.1. Additional generations and extended features are provided through the purchase of credit packs or a subscription according to the pricing published on the Site.

3.2. Payments are processed by authorised payment providers (bank cards, instant payment systems, cryptocurrency gateways). Payment data is processed on the payment providers' side; the Service never receives or stores card numbers, CVC codes or wallet details.

3.3. Credits are added to the User's account balance immediately after the payment system confirms the transaction.

4. AI disclaimer and limitation of liability

4.1. The Service uses probabilistic generative models (LLMs). Generated results (architecture, code, technical estimates) are engineering and analytical recommendations provided "AS IS".

4.2. The Provider does not guarantee the commercial success of the User's startup, fundraising outcomes, or the complete absence of hidden defects in third-party libraries.

4.3. The User undertakes to perform standard testing (code review, unit tests) of generated code before running it in production.

4.4. The Provider's aggregate liability for any claim is limited to the amount actually paid by the User for the relevant package during the last 30 calendar days.

5. Term and amendments

5.1. This Offer is effective from the moment of publication until withdrawn by the Provider.

5.2. The Provider may amend the Offer without prior individual notice by publishing the current version at /terms.
